1. Introduction

1.1. We are Ebbsfleet Cars LTD, operating from Ebbsfleet Cars LTD at 12a Station Road, Crayford, DA1 3QA. TFL Public Carriage Operator number ().
1.2. As the PHV Operator, we confirm our commitment to entering into a contractual obligation as the primary party with the individual making the private hire booking, to provide the Ride specified in the Booking.
1.3. These terms and conditions (the “Terms”) govern your use of the ICabbi Driver App, which forms part of the Ebbsfleet Cars LTD booking and dispatch system utilized by us. As a Driver, you will receive job assignments from our controllers, which you can accept or decline using the ICabbi Driver App.
1.4. Prior to using the ICabbi Driver App, we request that you carefully review these Terms. They outline how we will provide you with sign-up details for the ICabbi Driver App, how you will receive job assignments, the procedures for modifying or terminating your access to the ICabbi Driver App, steps to take in case of issues, and other essential information.
1.5. Upon initial registration to work with us, you must acknowledge and accept the terms and conditions outlined in these Terms. By doing so, you agree to abide by the obligations set forth in these Terms.

1.8. If we need to contact you, we will do so via telephone or in writing, using the contact details provided by you during the Driver application process.
1.9. In these terms, references to “writing” or “written” include emails and communications sent via SMS text.

2. The Reservation Service

2.1. We hold a private hire vehicle operator license # () issued by TFL. This license permits us to accept bookings for PHVs from customers via our telephone service or through our website www.ebbsfleetcars.co.uk in accordance with Regulation 9(14) of the Private Hire Vehicles (London) (Operators’ Licenses) Regulations 2000.
We provide you (the Driver) with bookings to fulfill according to customer specifications.
2.2. Provided you comply with these terms, we grant you a limited, non-sub-licensable, non exclusive, non-transferable, revocable license to: (i) use the ICabbi Driver App and (ii) access and use any content, information, and related materials necessary to complete the service.
2.3. To receive booking requests, you must:

    • Enable location data on your device so we can verify your proximity to the customer;
    • Update your availability status on the driver app; and
    • Provide any other required information.

2.4. If you’re nearby and available, we may, at our discretion, send you booking requests.
We’re not obligated to do so.
2.5. If you choose to accept a booking request, you can do so within the ICabbi Driver App.
You must respond within a specified time frame (approximately 20 seconds or as otherwise stipulated by us).
2.6. After accepting the booking request, we will provide you with certain customer information, including the customer’s name and pickup location, through the ICabbi Driver App.

3. Your Responsibilities

3.1. Upon agreeing to these terms and throughout your use of any aspect of the ICabbi Driver App, you must:
1. Be 21 years of age or older.
2. Possess valid proof of identity.
3. Hold a valid national insurance number.
4. Hold a valid UK driving license appropriate for the vehicle used for booking requests.
5. Hold both a valid private hire driver license and a valid private hire vehicle license issued by the relevant licensing authority.
6. Possess a V5C registration certificate (log book) for the vehicle used for bookings.
7. Maintain a valid MOT for the vehicle used every six months.
8. Have appropriate insurance coverage for the vehicle.
9. Maintain any other consents, licenses, permits, approvals, authorities, and insurance documents required by us for licensed private hire drivers (collectively, “Driver Requirements”).
3.2. To ensure compliance with the Driver Requirements and our regulatory obligations, you must provide us with copies of the necessary documents and regularly update them.
We reserve the right to review these documents periodically, and failure to provide or maintain them constitutes a serious breach of these terms.
3.3. Throughout the contract for booking services, you must:
10. Execute bookings with care, skill, and diligence.
11. Provide all necessary equipment and vehicles at your own expense.
12. Ensure the vehicle used for bookings is not older than 10 years.
13. Maintain the vehicle in a clean and sanitary condition.
14. Ensure the vehicle complies with all relevant laws and regulations regarding emissions.
15. Keep the vehicle in safe and roadworthy condition.
16. Maintain all necessary consents, licenses, permits, and approvals.
17. Adhere to applicable laws, regulations, and industry codes.
18. Follow health and safety regulations.
19. Avoid actions that could jeopardize our licenses or permits.
20. Fulfill any additional obligations we may stipulate.
3.4. You must promptly notify us if you encounter an incident or emergency while fulfilling a booking request, such as a flat tire, accident, or breakdown.
3.5. You are prohibited from contacting customers or using customer information for any purpose other than completing bookings. You agree to abide by all data protection laws.

4. Your Rights

4.1. You have the right to use the iCabbi Driver App, subject to compliance with these Terms and all applicable laws and regulations.
4.2. You are not obliged to accept all booking requests. However, we may monitor the number of requests you decline and reserve the right to limit the number of future booking requests based on your acceptance rate.
4.3. You may choose to stop providing Transportation Services at any time, but you must complete any booking you have already accepted, unless otherwise agreed with us.
4.4. You are responsible for ensuring that all relevant consents, licenses, permits, approvals, and insurance documents related to your vehicle and services are valid, up to date, and compliant with all applicable laws.
4.5. You may request the termination of your access to the iCabbi Driver App and end your contract with us by providing written notice.

5. Our Responsibilities

5.1. We will provide you with access to the iCabbi Driver App and facilitate bookings in accordance with these Terms.
5.2. We will notify you promptly if we receive any complaint from a Customer about your services and will investigate any such complaint in line with our complaints procedure.
5.3. We will handle and process any personal data shared with us in compliance with our Privacy Policy and applicable data protection laws.
5.4. We will pay you for your services as per our agreed rates, subject to any deductions for fees, commissions, or costs incurred during the provision of services. Payments will be processed in accordance with our payment terms, which will be provided to you separately.
5.5. We will provide you with reasonable support in the event that you encounter technical issues with the iCabbi Driver App, and we will take steps to ensure it remains operational. However, we do not guarantee that it will always be available, uninterrupted, or error-free.

6. Payment Terms

6.1. You will be paid for completed bookings at the rates agreed with us. Payment will be calculated based on the Fare set for each booking, less any deductions, including commission and other charges.
6.2. You must provide us with valid bank details for payment.
6.3. Payments will be made to you on a weekly basis, provided that all relevant documents are up to date and you remain compliant with these Terms.
6.4. If you disagree with any payment calculation, you must notify us within 7 days of receiving the payment. We will review and, if necessary, rectify any discrepancies.
6.5. We reserve the right to withhold payment or charge back amounts to you if it is determined that you have breached these Terms or provided incomplete or inaccurate information.

7. Termination

7.1. Either party may terminate this agreement by giving 30 days’ written notice.
7.2. We may suspend or terminate your access to the iCabbi Driver App immediately, without notice, if:
a) You fail to comply with any of the Driver Requirements;
b) You breach any of these Terms;
c) You are found guilty of serious misconduct or illegal activity while providing services; or
d) You are unable to perform your duties due to illness, injury, or any other reason for a prolonged period.
7.3. Upon termination, you must stop using the iCabbi Driver App and return any equipment or materials belonging to us, if applicable.
7.4. Any outstanding payments owed to you will be settled within 30 days of termination, provided that all necessary documents and requirements are met.

8. Complaints Procedure

8.1. If you have a complaint about our services, you should contact us by email or telephone using the contact details provided at the beginning of these Terms.
8.2. We will investigate your complaint and respond within 7 business days.
8.3. If we receive a complaint from a Customer about your services, we will notify you promptly and investigate the matter in accordance with our complaints procedure.
8.4. You must cooperate with us fully during any investigation and provide any relevant information or documentation requested.

9. Liability

9.1. We are not liable for any damage, loss, or injury you suffer as a result of using the iCabbi Driver App or providing Transportation Services, unless it results from our negligence or breach of these Terms.
9.2. You are responsible for any damage, loss, or injury caused to a Customer, their property, or any third party during the course of a Ride. You must have valid insurance coverage in place to cover any such incidents.
9.3. We do not guarantee the volume of bookings or income you will receive from using the iCabbi Driver App.
9.4. We are not responsible for any downtime, interruptions, or errors in the iCabbi Driver App.
9.5. You agree to indemnify us for any claims, damages, or losses arising from your breach of these Terms or your provision of Transportation Services.

10. Changes to These Terms

10.1. We reserve the right to modify these Terms at any time. We will notify you of any significant changes by email or through the iCabbi Driver App.
10.2. Your continued use of the iCabbi Driver App after any changes to these Terms will be deemed as your acceptance of the revised Terms.
10.3. If you do not agree to the changes, you may terminate your contract with us by providing written notice as per section 7.

11. Governing Law

11.1. These Terms are governed by the laws of England and Wales.
11.2. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
